Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the ACN SCRIBE LLC website and your purchase or use of our B2B content marketing, SaaS and technology copywriting, executive ghostwriting, thought leadership, and related content services. By purchasing our services or engaging with us, you agree to be bound by these Terms.
1. Definitions
Client: Any individual, business, company, or organization engaging ACN SCRIBE LLC for B2B content marketing, SaaS and technology copywriting, executive ghostwriting, thought leadership, or related content services.
ACN SCRIBE LLC: The content marketing and professional writing services provider responsible for creating, developing, and delivering written content and related materials.
Project: The services, deliverables, requirements, and specifications agreed upon in a written proposal, quotation, invoice, or service agreement between ACN SCRIBE LLC and the Client.
Deliverables: The final articles, whitepapers, industry reports, website copy, landing page copy, email sequences, LinkedIn content, opinion pieces, newsletters, and other written materials created and delivered as part of the agreed Project.
2. Services and Pricing
ACN SCRIBE LLC currently offers the following primary service packages:
- B2B Long-Form Content Marketing — $999
- SaaS & Tech Copywriting — $2,000
- Executive Ghostwriting & Thought Leadership — $800
Package pricing applies only to the services, deliverables, and scope specifically included in the selected package.
Additional content, revisions beyond the included amount, specialized research, rush delivery, additional deliverables, strategy services, content distribution, or other services may require additional fees.
Specific deliverables, quantities, timelines, and payment requirements may be outlined separately in the applicable proposal, quotation, invoice, or service agreement.
3. Engagement of Services
3.1. By purchasing a package or approving a proposal, the Client agrees to engage ACN SCRIBE LLC for the services described in the applicable package, proposal, invoice, or agreement.
3.2. ACN SCRIBE LLC will make reasonable efforts to provide services professionally and in accordance with the agreed project requirements.
3.3. Services or deliverables not specifically included in the agreed scope may be treated as additional work and may require a separate fee.
4. Payment Terms
4.1. All payments must be made according to the pricing and payment schedule agreed upon between the Client and ACN SCRIBE LLC.
4.2. ACN SCRIBE LLC may require full payment, an upfront deposit, or milestone payments before beginning or continuing work.
4.3. Work may be paused if required payments are not received within the agreed timeframe.
4.4. Additional content, revisions, research, strategy, or services requested after approval of the original scope may require additional payment.
4.5. Prices stated on the website may be subject to change. The applicable price for a Project will generally be the price agreed upon at the time of purchase or confirmed in the applicable proposal, invoice, or service agreement.
5. Project Timeline and Delivery
5.1. Project timelines depend on the selected service, scope, number of deliverables, research requirements, complexity, and availability of required Client materials.
5.2. The estimated delivery period begins once ACN SCRIBE LLC has received the required information, materials, approvals, and applicable payments from the Client.
5.3. Delivery timelines may be extended due to delays in receiving information, feedback, approvals, source materials, or other required materials from the Client.
5.4. Unforeseen technical issues, third-party service interruptions, research limitations, or circumstances outside the reasonable control of ACN SCRIBE LLC may also affect delivery times.
6. Client Responsibilities
The Client agrees to:
- Provide accurate and complete project information.
- Provide relevant business information, brand guidelines, product information, and other materials required for the Project.
- Provide necessary access or reference materials when required.
- Ensure that supplied content and materials are legally authorized for use.
- Review deliverables and provide timely feedback.
- Provide approvals necessary to move the Project forward.
- Communicate specific requirements, target audiences, tone, style, and messaging requirements before work begins.
ACN SCRIBE LLC is not responsible for delays caused by the Client’s failure to provide required information, materials, access, or feedback.
7. Revisions and Changes
7.1. The Client may request revisions according to the number of revisions included in the selected package or agreed Project scope.
7.2. Revisions must relate to the original project requirements, agreed messaging, and approved scope.
7.3. Requests for substantially new content, major changes in direction, additional deliverables, new topics, additional research, or requirements outside the original scope may be treated as additional work.
7.4. Additional work may result in additional fees and an updated delivery timeline.
8. Content, Research, and Client Materials
8.1. The Client is responsible for providing or approving information used in the creation of their content.
8.2. The Client represents that they have the necessary rights, licenses, or permissions to use any text, images, trademarks, proprietary materials, data, documents, or other materials they provide.
8.3. ACN SCRIBE LLC is not responsible for copyright, trademark, licensing, accuracy, or other legal claims arising from materials or information supplied by the Client.
8.4. Where research is required, ACN SCRIBE LLC will make reasonable efforts to use relevant and reliable sources. The Client remains responsible for reviewing and approving factual claims relating to their business, products, services, financial information, or proprietary information.
8.5. Third-party tools, platforms, research databases, software, or other external services used in connection with a Project may be subject to separate terms and fees.
9. Ownership and Intellectual Property
9.1. Upon receipt of full payment, ownership of the completed and final agreed Deliverables will be transferred to the Client, subject to any third-party licenses, restrictions, or materials.
9.2. ACN SCRIBE LLC retains ownership of its pre-existing frameworks, templates, processes, methodologies, research systems, writing systems, reusable materials, and proprietary resources.
9.3. Third-party software, stock assets, licensed materials, research databases, fonts, images, or other third-party materials remain subject to the terms of their respective owners or providers.
9.4. Unless otherwise agreed in writing, ACN SCRIBE LLC may display completed non-confidential work or publicly available content in its portfolio and marketing materials.
9.5. For ghostwriting services, the Client may publish and represent the final approved content as their own, subject to the terms of the applicable service agreement.
10. Confidentiality
10.1. Both parties agree to protect confidential or proprietary information shared during the Project.
10.2. ACN SCRIBE LLC will not knowingly disclose the Client’s confidential business information to unauthorized third parties except where disclosure is required by law or necessary to provide the agreed services.
10.3. Confidential information may include business strategies, unpublished product information, financial information, internal documents, credentials, customer information, and other information reasonably understood to be confidential.
11. Termination
11.1. Either party may request termination of a Project through written communication.
11.2. The Client remains responsible for payment for work already completed, approved milestones, and non-refundable third-party expenses incurred before termination.
11.3. Any refund following termination will be handled in accordance with the applicable ACN SCRIBE LLC Refund and Returns Policy.
11.4. Upon termination, ACN SCRIBE LLC may discontinue any remaining unpaid services.
12. Ongoing Services and Future Work
Unless specifically included in the purchased package or service agreement, ongoing content creation, content strategy, editing, revisions, publishing, distribution, social media management, consulting, and future content development are not included after completion of the agreed Project.
Additional services may be purchased separately.
13. Limitation of Liability
13.1. ACN SCRIBE LLC will make reasonable efforts to provide professional content and writing services according to the agreed project requirements.
13.2. ACN SCRIBE LLC shall not be liable for indirect, incidental, special, consequential, or business losses resulting from the use of, reliance upon, or inability to use any content or service, to the extent permitted by applicable law.
13.3. ACN SCRIBE LLC is not responsible for business outcomes resulting from the Client’s use, publication, distribution, or implementation of delivered content.
13.4. The Client is responsible for reviewing and approving all final content before publication or use.
14. No Guarantee of Business Results
ACN SCRIBE LLC provides content marketing, copywriting, ghostwriting, and related services but does not guarantee specific business outcomes, including a particular number of visitors, leads, sales, subscribers, rankings, revenue, engagement, conversions, or customer acquisition.
Any specific performance guarantee must be expressly provided in a separate written agreement signed by both parties.
15. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the applicable laws of the United States, without regard to conflict-of-law principles.
Any disputes arising from these Terms shall be handled through the appropriate legal process and courts having jurisdiction over the matter.
16. Changes to These Terms
ACN SCRIBE LLC reserves the right to update or modify these Terms and Conditions from time to time.
Any changes will be posted on this page with an updated Effective Date. Continued use of our website or services after changes are posted may constitute acceptance of the updated Terms.
